Terms & Conditions
These Terms and Conditions (“Terms”) govern your access to and use of ViaPay’s services, software, and website (collectively, the “Services”). By signing up for, accessing, or using any ViaPay Service, you agree to be bound by these Terms. If you are using ViaPay on behalf of an organisation, you agree to these Terms for that organisation and represent that you have authority to bind it.
If you have entered into a Master Services Agreement (MSA) or signed an Order Form with ViaPay, then those documents will prevail in the event of any conflict with these Terms.
Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts. By using the Services, you represent and warrant that you meet these eligibility requirements.
Account Registration
To access certain components of the Services, you must register for an account. You are responsible for all activity that occurs under your account, including actions taken by authorised users such as workshop staff. You must maintain the confidentiality of your login credentials and notify ViaPay immediately of any unauthorised access or use.
Use of Services
You agree to:
Use the Services solely for lawful, commercial business purposes;
Not reverse engineer, decompile, copy, resell, or otherwise misuse the Services;
Ensure that any of your authorised users (e.g., workshop staff) comply with these Terms;
Remain fully responsible for your customer interactions, including any actions taken by vehicle owners using the Services through links, checkout pages, or booking confirmations;
Comply with all applicable laws and regulations, including consumer and privacy laws.
Fees & Payments
ViaPay offers a hybrid pricing model consisting of:
Transaction-Based Fees: For most users, ViaPay charges a 3% transaction fee on all amounts processed through the platform (including payments from end-customers). This fee is deducted automatically at the point of transaction.
Subscription Plans: Certain customers may subscribe to a monthly SaaS plan based on usage tiers or enterprise features. Subscription fees are billed in advance on a recurring basis, as agreed in your Order Form or service plan.
By using ViaPay, you agree to:
Pay all applicable fees in accordance with the stated pricing or outlined in your individual Order Form;
Authorise ViaPay to deduct transaction fees directly from payment amounts where applicable;
Remain responsible for any taxes, surcharges, or gateway fees imposed by third-party providers (e.g., Stripe, Airwallex), which are not included in ViaPay’s fee;
Understand that all fees are non-refundable, except where required by law.
Free Trials & Beta Services
ViaPay may offer free trials or access to beta versions of the Services. These are provided “as is,” with no warranties or commitments, and may be modified or discontinued at any time. By participating, you agree that:
These versions may include bugs or limitations;
Your feedback may be used to improve the Services.
Intellectual Property
ViaPay owns and retains all rights, title, and interest in and to the Services, including all software, branding, content, and associated materials. You retain ownership of all business data and content you upload or process through the platform.
ViaPay does not claim ownership of your customer data, including vehicle owner contact details, booking records, or transaction history.
Confidentiality & Data
You agree not to disclose any confidential information shared by ViaPay, including product roadmaps, pricing, or unreleased features, without prior written consent.
ViaPay will collect and process your data in accordance with our Privacy Policy and all applicable laws. You acknowledge that:
ViaPay may process consumer data (e.g., vehicle owner names, mobile numbers, payment details) on your behalf as part of providing the Services;
You are responsible for obtaining any necessary consent from end-customers to collect, store, and transmit their data through the platform.
Termination
You may stop using the Services at any time. ViaPay may suspend or terminate your access if you breach these Terms, violate applicable laws, or use the Services in a way that could cause harm to others or the platform.
Upon termination:
You remain responsible for any outstanding fees or charges;
ViaPay may retain your business and customer data for a limited time to meet compliance and audit requirements before secure deletion.
Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind. ViaPay disclaims all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
ViaPay relies on third-party providers (e.g. Stripe, Airwallex, SMS service providers) and is not liable for any disruptions or downtime caused by these third parties.
Limitation of Liability
To the extent permitted by law, ViaPay will not be liable for any indirect, incidental, or consequential losses, including but not limited to loss of profits, data, goodwill, or business interruption.
ViaPay’s total aggregate liability under these Terms will not exceed the total amount you paid to ViaPay in the twelve (12) months preceding the event giving rise to the claim.
Governing Law
These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.
Changes to Terms
We may update these Terms from time to time. If material changes are made, we will notify you by email or through the platform. If you do not agree to the updated Terms, you may cancel your account before the effective date without penalty. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
Support & Service Availability
ViaPay provides standard support via email at support@viapay.atlassian.net. We aim to respond to support requests within 2 business days. Service availability may be impacted by scheduled maintenance or third-party dependencies.
End-Customer Disclaimer
ViaPay does not provide services directly to consumers. Any payments, communications, or services offered to end-customers (e.g., vehicle owners) through the platform are the sole responsibility of the workshop or service provider using ViaPay.
